Stefan Le Roux

Stefan Le Roux is a Cape Town-based corporate and commercial attorney, admitted conveyancer and dual-qualified South African attorney and Solicitor of England and Wales. With more than two decades of experience, he specialises in complex commercial and real estate transactions, mergers and acquisitions, corporate restructurings, property developments, taxation, banking and finance, and cross-border investments.

As Managing Partner and co-founder of SL Law Incorporated, Stefan combines specialist legal expertise with commercial judgment to advise South African businesses, property developers, financial institutions, international investors and non-residents on sophisticated transactions and regulatory matters.

His practice spans corporate and commercial law, real estate and property law, conveyancing, transaction tax, banking and finance, and South African exchange control. His particular strength lies in structuring transactions where property ownership, corporate arrangements, taxation, financing and regulatory requirements intersect.

In real estate, he advises on commercial and residential property acquisitions, property developments, sectional title schemes, property ownership structures, complex conveyancing matters and property-related disputes. His litigation experience includes novel and precedent-setting questions of South African sectional title and property law, including the allocation of exclusive-use rights.

Stefan is also a Conveyancing Examiner, reflecting his specialist involvement in the standards and technical requirements of South African conveyancing practice.

His corporate and commercial practice includes mergers and acquisitions, business acquisitions and disposals, corporate restructurings, shareholder arrangements, transaction financing and complex commercial agreements. He provides integrated legal and tax advice designed to protect commercial value, manage regulatory exposure and facilitate effective transaction execution.

A specialist in taxation and exchange control, Stefan advises on capital gains tax, VAT, transfer duty, corporate restructuring provisions, international tax considerations, foreign investment into South Africa, offshore structures and cross-border capital movements. He is a member of the SAICA Exchange Control Subcommittee, contributing to professional consideration of South Africa’s exchange control framework and emerging regulatory issues involving digital assets.

His dual qualification and multidisciplinary expertise are particularly valuable to international clients acquiring South African property, establishing businesses, structuring investments or navigating the interaction between South African law, taxation and exchange control.

Stefan approaches legal practice on the principle that technical excellence is only the starting point. His distinction lies in understanding the transaction as a whole, anticipating legal and commercial consequences, and delivering solutions that are practical, defensible and commercially effective.
